Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Nomad Geologist research platform (the “Platform”) operated by Cuprea Resource Funds Ltd, a company registered in Cyprus (reg. no. HE 496223, registered office Agiou Amvrosiou 2, 8049 Paphos, Cyprus) (“we,” “us,” “our”). By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

These Terms apply to all users. If you are a paying member, your use is also governed by your applicable Subscription Agreement (Research Access or Full Access), which prevails over these Terms to the extent of any conflict regarding subscription-specific matters.

1. Eligibility and Accounts

The Platform is an invite-only service intended for professional and sophisticated investors. You must be at least 18 years old and provide accurate account information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Access is personal and may not be shared, transferred, or resold.

2. Access Tiers

Access to research, models, downloads, and scheduling depends on your subscription tier. We may modify features, tiers, and content at any time. Details of what each tier includes, and the licensing of downloadable models, are set out in the applicable Subscription Agreement.

3. Acceptable Use

You agree not to: (a) access the Platform other than through your own authorized account; (b) copy, scrape, harvest, or extract content except as expressly permitted; (c) share, redistribute, resell, or sublicense content except as your Subscription Agreement or these Terms (including the Investor Pass sharing permission below) allow; (d) attempt to bypass access controls, security, or gating; (e) reverse engineer or interfere with the Platform; (f) use the Platform for any unlawful purpose or in violation of applicable securities or other laws; or (g) misrepresent your relationship with us.

4. Intellectual Property

All content on the Platform — research, models, text, graphics, maps, and software — and all intellectual property rights therein are owned by us or our licensors. Except for the rights expressly granted in your Subscription Agreement, no license or right is granted to you. Our names, logos, and branding may not be used without our prior written consent.

5. Not Investment Advice; Disclaimer

The Platform and its content are provided for informational and educational purposes only and do not constitute financial, investment, legal, tax, or other professional advice, or any recommendation, offer, or solicitation regarding any security. We are not a registered investment adviser or broker-dealer. You are solely responsible for your own investment decisions. You acknowledge that we and our principal(s) may hold positions in the companies we cover. Your use of the Platform is subject to our full Disclaimer & Forward-Looking Statements, which is incorporated into these Terms by reference.

6. Fees

Subscription fees, billing, and cancellation are governed by your Subscription Agreement. Fees are payable as invoiced. Except as required by law or expressly stated, invoiced institutional fees are non-refundable. (This clause concerns invoiced institutional services under separate written agreements; it does not apply to purchases made through Paddle on this website, which are covered by our Refund Policy.)

7. Confidentiality

Content made available to you through the Platform is confidential and proprietary. You agree to use it only as permitted and not to disclose it except as your Subscription Agreement or these Terms allow.

8. Third-Party Links and Services

The Platform may link to third-party websites or services (such as company news pages, scheduling tools, or file storage). We are not responsible for the content, availability, or practices of third parties, and your use of them is at your own risk and subject to their terms.

9. Disclaimers of Warranty

The Platform and all content are provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that content is accurate or complete.

10. Limitation of Liability

To the maximum extent permitted by law, we and our directors, officers, and affiliates shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any lost profits or investment losses, arising out of or relating to your use of the Platform. Our total aggregate liability shall not exceed the total fees you paid in the three (3) months preceding the event giving rise to the claim (or, for non-paying users, USD $100).

11. Indemnification

You agree to indemnify and hold harmless Cuprea Resource Funds Ltd and its directors, officers, and affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, your breach of these Terms, or your violation of any law or third-party right.

12. Suspension and Termination

We may suspend or terminate your access at any time for breach of these Terms or your Subscription Agreement, or to protect the Platform. Upon termination, your right to use the Platform ends. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) survive.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the Platform or by email. Your continued use after an update constitutes acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Cyprus, without regard to conflict-of-laws rules. You submit to the exclusive jurisdiction of the courts of Cyprus for any dispute arising under these Terms, without prejudice to mandatory consumer protections of your country of residence.

Investor Pass — Retail Subscription Terms

This section applies if you purchase the Investor Pass retail subscription. The Investor Pass is provided by Cuprea Resource Funds Ltd, a company registered in Cyprus (reg. no. HE 496223, registered office Agiou Amvrosiou 2, 8049 Paphos, Cyprus), operating as “Nomad Geologist” (“we,” “us” in this section). Contact: nomadgeo@proton.me. For Investor Pass matters, this section prevails over the general terms above to the extent of any conflict.

The service

The Investor Pass provides access to interactive three-dimensional visualizations of mineral exploration projects, together with related analytical tools and market information (the “Service”). The Service is an educational and conceptual research tool. It does not constitute investment advice, a recommendation, or an offer or solicitation to buy or sell any security. Visualizations are interpretive and conceptual in nature; they are not mineral resource or reserve estimates and have not been prepared under NI 43-101, JORC, or any comparable reporting code. Economic figures generated by the Service’s tools are produced from assumptions you select and are illustrative only. We and persons associated with us may hold positions in securities of companies covered by the Service.

Your account and licence

Your subscription grants a personal, non-transferable, non-commercial licence to view and use the Service for your own research. You may not share your login; redistribute, republish, scrape, systematically download, or reproduce Service content (except as permitted under “Sharing screenshots and clips” below); use Service content in any fund, client, or commercial materials; or make it available to any third party. Content served to you may carry identifying marks. All intellectual property in the Service and its content remains ours. We may suspend or terminate accounts that breach these terms.

You may share screenshots and short screen recordings of the Service — on social media, in forums, in your own posts — without asking us. What you post is your own publication and your own responsibility: any interpretation, opinion or conclusion you attach to it is yours, and we accept no liability for it. Remember that the models are our interpretation of publicly available data, not the covered company’s own model and not a mineral resource or reserve estimate. Do not share the interactive models themselves, data files, links to the models, or your login.

Billing

Payments are processed by Paddle, our merchant of record. Your purchase is made from Paddle, and Paddle’s Buyer Terms also apply. Prices are shown at checkout; applicable taxes (e.g. VAT/GST) are added or included as required by your location.

Free trial and renewal

New subscriptions begin with a 7-day free trial; a valid payment method is required at signup. You will not be charged if you cancel before the trial ends. Unless cancelled, the subscription converts automatically at the end of the trial and renews automatically each billing period (monthly or annually, as selected) until cancelled. You can cancel at any time via the link in your receipt emails or by contacting us; cancellation stops future renewals and access continues until the end of the period already paid.

Pricing

Prices for new subscribers may change over time. Your rate at signup remains yours for as long as your subscription stays continuously active.

Refunds

During the free trial: cancel anytime; nothing is charged.
All payments — monthly, annual, renewals, and the first charge after a trial — carry a 14-day money-back guarantee, for any reason. See our Refund Policy.
Cancelling stops all future charges; access continues until the end of the period already paid.
Nothing in this policy limits any non-waivable statutory rights you hold under applicable consumer law. Refund requests: nomadgeo@proton.me or via Paddle.

Service changes and availability

Project coverage evolves; models are added, updated, and occasionally retired. The Service is provided “as is” and “as available”; we do not warrant uninterrupted availability or that content is free of errors. Underlying public data (e.g. company disclosures, market data) is used on a best-efforts basis without warranty.

Liability

To the maximum extent permitted by law, our aggregate liability arising from the Service is limited to the amounts you paid for the Service in the 12 months preceding the claim, and we are not liable for trading or investment losses, indirect, or consequential damages. Nothing limits liability that cannot lawfully be limited.

General

We may amend these terms with notice via the Service or email; continued use after the effective date constitutes acceptance. These Investor Pass terms are governed by the laws of Cyprus, and disputes are subject to the courts of Cyprus, without prejudice to mandatory consumer protections of your country of residence.
